The Company may modify, suspend, or discontinue any part of the Service at any time with reasonable notice to users.

3. User Accounts and Registration

3.1 Account Creation

To use certain features of the Service, you must create an account and provide accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your username and password

  • Notifying the Company of any unauthorized use of your account

3.3 Multi-Tenant Architecture

The Service operates on a multi-tenant basis where each organization maintains separate, segregated data. Your organization's data is accessible only to authorized users within your organization tenant. Unauthorized access to other organizations' data is strictly prohibited.

4. User Responsibilities and Acceptable Use

4.1 Acceptable Use

You agree to use the Service only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the Service. You specifically agree not to:

  • Harass, abuse, or threaten other users or Service personnel
  • Transmit obscene, defamatory, or offensive content
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to the Service or related systems
  • Reverse engineer, decompile, or disassemble the Service
  • Remove or alter any proprietary notices or labels
  • Use the Service to transmit viruses, malware, or harmful code
  • Engage in any form of fraud or deception
  • Collect or track personal information of others without consent
  • Bypass security measures or authentication systems
  • Use automated tools to access the Service without authorization

You agree to comply with all applicable federal, state, and local laws and regulations, including but not limited to:

  • FERPA (Family Educational Rights and Privacy Act)
  • COPPA (Children's Online Privacy Protection Act)
  • State and federal privacy laws
  • Data protection regulations (GDPR, CCPA, etc.)
  • Transportation and safety regulations

4.3 Data Accuracy

You are responsible for ensuring that all information you input into the Service is accurate, complete, and current. The Company is not responsible for errors resulting from inaccurate data entry.

4.4 Student and Minor Data

For users managing student data or information about minors:

  • You must have appropriate authorization and consent from parents/guardians
  • You must protect student privacy and comply with FERPA requirements
  • You will not use student data for any purpose other than educational transportation
  • You are responsible for informing parents/guardians about data collection and usage

5. License and Intellectual Property Rights

5.1 License Grant

The Company grants you a non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. This license does not permit you to:

  • Sell, resell, or transfer the Service
  • Share access with unauthorized users
  • Use the Service to create a competing product
  • Remove or alter copyright, trademark, or other proprietary notices

5.2 Intellectual Property Ownership

All content, features, and functionality of the Service, including but not limited to software, text, graphics, logos, images, and data compilation, are the exclusive property of the Company or its licensors. Your use of the Service does not grant you any ownership rights.

8. Limitation of Liability

  • Warranties that the Service is error-free, uninterrupted, or secure
  • Warranties regarding the accuracy, completeness, or reliability of data

8.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR:

  • Loss of profits, revenue, or data
  • Business interruption or lost business opportunity
  • Personal injury or property damage
  • Emotional distress or reputational harm

This applies regardless of the cause of action (contract, tort, strict liability, or otherwise) and even if the Company has been advised of the possibility of such damages.

8.3 Cap on Liability

IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

8.4 Essential Provision

You acknowledge that these limitations are essential terms of this agreement and that the Company would not provide the Service without these limitations.

9. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • User Content you submit or authorize
  • Your infringement of third-party intellectual property rights
  • Your negligence or willful misconduct

10. Termination

10.1 Termination by You

You may terminate your account and subscription at any time by providing written notice to the Company. Termination becomes effective at the end of your current billing cycle. No refunds will be issued for partial months.

10.2 Termination by the Company

The Company may suspend or terminate your access to the Service immediately and without notice if:

  • You violate these Terms or applicable laws
  • You engage in unauthorized access attempts or hacking
  • You transmit malware or harmful content
  • Your account is used for illegal activities
  • Your payment fails and remains unpaid for 30 days
  • Your organization ceases operations

The Company may also terminate for any reason with 30 days' written notice.

10.3 Effects of Termination

Upon termination:

  • Your right to use the Service ceases immediately
  • Your account and data may be deleted after 90 days (subject to retention requirements)
  • Payment obligations remain outstanding
  • Sections 5 (Intellectual Property), 8 (Limitation of Liability), and 10-16 survive termination

11. Suspension of Service

The Company may suspend your access to the Service if:

  • Payment is overdue
  • You violate these Terms
  • The Service experiences technical difficulties or maintenance
  • We suspect unauthorized or fraudulent activity
  • Required by law or legal process

The Company will make reasonable efforts to notify you of suspensions and the reasons for them, except in cases of emergency or security threats.

12. Third-Party Services and Integrations

The Service integrates with various third-party services, including:

  • Google Maps (mapping and routing)
  • Cisco UCM (phone systems)
  • Kirisun GPS (GPS tracking and radio communications)
  • Payment processors (billing)
  • Cloud storage providers
  • Email and notification services

12.1 Third-Party Terms

Your use of third-party services is subject to their respective terms and conditions. The Company is not responsible for third-party services, including their availability, accuracy, or security practices.

12.2 Company Not Responsible

The Company is not liable for any issues, outages, or failures of third-party services. You agree to address any issues with third parties directly.

12.3 Data Sharing

By using the Service, you consent to the sharing of necessary data with third-party service providers as described in our Privacy Policy.

13. GPS Tracking and Location Services

13.1 Tracking Consent

Use of GPS tracking features requires appropriate consent from:

  • Drivers and vehicle operators
  • Parents/guardians of students on tracked buses
  • Other individuals subject to tracking

13.2 Accuracy Disclaimer

GPS tracking data may be affected by environmental factors, signal obstruction, and technical limitations. The Company makes no warranty regarding the accuracy or real-time nature of GPS data. GPS data should not be relied upon as the sole basis for critical safety decisions.

13.3 Use Restrictions

GPS tracking data may only be used for:

  • Route planning and optimization
  • Driver performance monitoring
  • Emergency response and safety
  • Compliance and audit purposes

Unauthorized use of GPS data for stalking, harassment, or other improper purposes is prohibited.

14. Surveillance and Recording

If the Service includes surveillance or recording features:

  • All recording must comply with applicable state and federal laws
  • Appropriate consent must be obtained from individuals being recorded
  • Recordings may only be used for safety, security, and operational purposes
  • Data must be protected with appropriate security measures

15. Dispute Resolution
